ARTICLES OF INCORPORATION
OF
PHILIPPINE COLLEGE OF OPTOMETRISTS, INC.

 

KNOW ALL MEN BY THESE PRESENTS:

The undersigned incorporators, all of legal age and majority of whom are residents of the Philippines, have this day voluntarily agreed to form a non-stock and non-profit association under the laws of the Republic of the Philippines,

THAT WE HEREBY CERTIFY:

FIRST: That name of the said association shall be:

PHILIPPINE COLLEGE OF OPTOMETRISTS, INC.

SECOND: That the purpose or purposes for which such association is formed are:

Primary Purposes

1. To promote the advancement of optometry as a science and profession.
2. To promote professional excellence by developing the highest level of competence among optometrists.

3. To set forth and encourage its member to observe the highest level of professional and ethical standards of practice.

4. To develop, and promote scientific research and development in the field of optometry and visual sciences.

5. To encourage linkages with both local and international bodies what would promote the objectives of this organization.

6. To promote such other programs and activities designed to achieve the objectives herein set forth.

Secondary Purposes

1. To receive contributions, donations, gifts, bequest, financial aids and grants, and other forms of assistance from any source whatsoever, subject to existing laws, and to make or use the same for the operation of the association and furtherance of its purposes or objectives.
2. To acquire, purchase, own, hold, operate, develop, rent, mortgage, pledge, exchange, sell, transfer, or otherwise deal, in the manner permitted by law, in real and personal property of every kind and description or any interest therein as may be incidental to the purposes of the association.

3. To raise money for any of the purposes of the association from time to time without limit as to amount, for the attainment of its objectives.

4. To hold and promote scientific and educational meetings and fora.

5. Generally, to do all such things, transact such business, exercise such power and authority as may be necessary, incidental or required in order to carry
out the purposes and objectives of the association as to heretofore stated.

THIRD: That the place where the principal office of the association is to be established in Metro Manila or its environs.

FOURTH: That the term for which the association is to exist is fifty (50) years from and after the date of issuance of the certificate of incorporation.

EIGHT: That no part of the income which the association may obtain as an incident to its operation shall be distributed as dividends to its members, trustees or officers subject to the provisions of the Corporation Code on dissolution. Any profit obtained by the association as a result of its operation, whenever necessary or proper shall be used for the furtherance of the purposes enumerated in Article II, subject to the provision of Title XI of the Corporation Code of the Philippines.

NINTH: That BENITA M. SOLTURA has been elected by the members as Treasurer of the association to act as much until her successor is duly elected and qualified in accordance with the by-laws; and that as much Treasurer, she has been authorized to receive for and in the name and for the benefit of the association all contributions or donations paid or given by the members.

TENTH: That the association manifests its willingness to change its corporate name in the event another person, firm or entity has acquired a prior right to use the said firm name or one deceptively or confusingly similar to it.

ELEVENTH: That the association shall comply with the requirements for non-stock corporation in the course of its operation.
